Terms of Service

By creating a Nexrole account or using the service, you agree to these Terms of Service ("Terms"). If you don't agree, don't use the service. "Nexrole", "we", "us" refers to the Nexrole service and its operators. "You" refers to any person or entity using Nexrole.

Nexrole is a role-automation service. It connects to your Stripe Express account (the one Substack uses to pay you) via OAuth, monitors subscription events, and uses a Discord bot to grant or revoke a role you designate in your Discord server. Nexrole does not create content, manage communities, or perform any action beyond role assignment and revocation.

• You must be at least 18 years old and capable of entering a binding agreement to create an account.
• You are responsible for keeping your login credentials secure. You are liable for all activity under your account.
• You must provide accurate information. Impersonating another person or entity is prohibited.
• You may only connect a Stripe account that you own and have legal authority to use.
• You may only add Nexrole to Discord servers where you are an administrator.

You agree not to use Nexrole to:

• Violate any applicable law or regulation.
• Grant access to illegal content, hate speech, harassment, or anything that violates Discord's Terms of Service or Community Guidelines.
• Attempt to reverse-engineer, scrape, or abuse the service's APIs.
• Circumvent any rate limits, access controls, or security measures.
• Resell or white-label the service without written permission.
• Use the service in a way that degrades performance for other users.

We reserve the right to suspend or terminate accounts that violate these terms, without refund.

• Nexrole is offered under a paid subscription. A 7-day free trial is available. You must provide a valid payment method to start the trial.
• If you do not cancel before the trial ends, you will be charged for the plan you selected.
• Subscriptions are billed in advance — monthly or annually depending on what you chose.
• All payments are processed by Stripe. By subscribing, you agree to Stripe's Terms of Service.
• You can cancel at any time from your billing settings. Cancellation takes effect at the end of the current billing period; you retain access until then.
• We do not offer refunds for partial billing periods, except where required by law.
• We may change prices with 30 days' notice. Price changes will not affect your current billing period.

You own your subscriber data. We process it on your behalf to operate the service. See our Privacy Policy for full details on how we handle data. You are responsible for ensuring your use of subscriber data complies with applicable privacy laws (GDPR, CCPA, etc.) and for obtaining any necessary consent from your subscribers.

We aim for high availability but do not guarantee 100% uptime. The Scale plan includes an SLA; Creator and Trial plans do not. We perform nightly maintenance windows and may have occasional downtime for updates. We will notify you of planned downtime where possible.

We are not responsible for delays or failures caused by third-party services including Stripe, Discord, or Substack.

All Nexrole branding, code, design, and content is owned by us and protected by applicable intellectual property laws. You retain ownership of your content and subscriber data. You grant us a limited licence to process your data solely to operate the service.

To the maximum extent permitted by law, Nexrole's total liability to you for any claim arising from or related to the service is limited to the amount you paid us in the 12 months preceding the claim.

We are not liable for: lost profits, lost subscribers, lost revenue, loss of data, indirect or consequential damages, or any damage arising from your reliance on the service for business-critical operations.

Some jurisdictions do not allow limitation of certain liabilities. If you are in such a jurisdiction, the above limitations apply to the extent permitted by law.

You agree to indemnify and hold Nexrole harmless from any claims, damages, and expenses (including legal fees) arising from your use of the service, your violation of these Terms, or your violation of any third party's rights.

Either party may terminate the service relationship at any time. We may suspend or terminate your account immediately for material violations of these Terms. On termination, your right to use the service ends immediately. We will delete your data per our Privacy Policy.

These Terms are governed by the laws of the jurisdiction in which Nexrole is incorporated, without regard to conflict-of-law provisions. Any disputes will be resolved through binding arbitration, except where prohibited by law.

We may update these Terms. For material changes, we will give at least 30 days' notice via email or in-app notification. Continued use of the service after the effective date constitutes acceptance of the revised Terms.
